PromoProof — Terms of Service

These Terms of Service ("Terms") govern your use of PromoProof ("the App", "the Service"), a Shopify app provided by Ecosphere Innovations LLC ("we", "us"). By installing or using the App on your Shopify store, you agree to these Terms on behalf of yourself and the business you install it for. If you don't agree, please don't install the App, or uninstall it.

1. What PromoProof does

PromoProof checks whether your store's discounts apply the way you configured them. It builds temporary test carts through Shopify's own Storefront Cart API, applies each discount, and compares the result with your discount's settings. When a confirmed problem is found, it notifies you by email and, if you set one up, by Slack or webhook. Test carts place no orders and use no inventory or discount usage. PromoProof reads your discounts; it never changes them.

2. What PromoProof can and can't do

• PromoProof is an automated monitor that helps you catch discount problems. It does not guarantee that every problem will be detected, or detected immediately.
• Checks run when you edit a discount and on a schedule (at least about once a day), so a discount that breaks without being edited may not be caught until the next scheduled check.
• Some discounts can't be reproduced on an anonymous test cart (for example, discounts limited to specific customers, customer segments, or markets). The App labels these as watched rather than fully tested, and does not alert on them.
• You remain responsible for your store's discounts, prices, and promotions, and for any decision you make based on the App's results.

3. Plans, billing, and cancellation

• PromoProof offers a Free plan and paid plans. Current plans and prices are shown on the App's Shopify App Store listing and in the App.
• Paid plans are billed by Shopify through your Shopify invoice, on the plan's billing cycle, and may include a free trial. Charges are subject to Shopify's billing terms.
• You can change plans or cancel at any time from the App, or by uninstalling it. Cancelling stops future charges; except where required by law, charges already billed are not refunded, but if you believe you were charged in error, contact us and we will review it.
• We may change plan features or prices. We will give you reasonable advance notice of a price increase to a paid plan you are on.

4. Your responsibilities

• You must have the authority to install the App on the store and to accept these Terms.
• Keep your alert email address (or other notification settings) current so you receive alerts.
• Don't misuse the Service: no attempts to disrupt it, access other merchants' data, reverse engineer it, or use it for anything unlawful.

5. Your data

How we handle data is described in our Privacy Policy, which is part of these Terms. In short: PromoProof does not collect your customers' personal information, uses your store data only to provide the Service, and deletes your store's data after you uninstall, as Shopify requires.

6. Availability and changes to the Service

We work to keep PromoProof running reliably, but it may occasionally be unavailable (for example, during maintenance or when Shopify's APIs are unavailable or change). We may improve, change, or discontinue features. If we discontinue the App, we will give you reasonable notice.

7. Disclaimer

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.

8. Limitation of liability

To the extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or sales, arising from your use of the Service, including from a discount problem the Service did not detect. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim (or USD $50 if you have only used the Free plan).

9. Termination

You can stop using the Service at any time by uninstalling the App. We may suspend or end your access if you breach these Terms or misuse the Service. After uninstall, your data is deleted as described in the Privacy Policy.

10. Governing law

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict-of-laws rules.

11. Changes to these Terms

We may update these Terms. Material changes will be reflected by the "Last updated" date above, and for significant changes we will notify you in the App or by email. Continuing to use the App after a change means you accept the updated Terms.
